Terms of Use for Cohortly Social

Welcome to Cohortly Social (“Cohortly,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Cohortly Social website, mobile experiences, messaging services, and related products or services (collectively, the “Services”).
By creating an account, joining a cohort, receiving text messages, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Cohortly Is
Cohortly is a platform designed to help people meet others through curated small-group social experiences (“Cohorts”). We may use user-submitted information, preferences, scheduling data, and automated tools to suggest groups, organize meetups, send reminders, and improve the experience.
Cohortly is not:
- a dating service
- a guarantee of friendship, compatibility, or relationships
- an event venue operator
- a transportation provider
- a security service
- a background check provider
- a mental health or counseling service
2. Eligibility
To use the Services, you represent that:
- you are at least 18 years old (or older if required by local law)
- you can form a binding legal agreement
- all information you provide is accurate and current
- you will comply with these Terms and applicable law
We may limit or deny access at our discretion.
3. Accounts and Registration
You may be required to provide information such as:
- name
- phone number
- email address
- age range
- availability
- preferences or interests
- profile photo (optional)
You agree to keep your information accurate and up to date.
You are responsible for maintaining access to your phone number, email address, and any login credentials or verification codes.
We do not guarantee continued availability of your account, access to the Services, participation eligibility, or ongoing access to any specific feature, cohort, beta program, or membership status.
4. Text Messages, Calls, and Notifications
By providing your phone number and opting in, you consent to receive transactional and service-related communications from Cohortly, including via third-party messaging providers, such as:
- login or verification codes
- cohort invitations
- scheduling updates
- reminders
- check-in links
- feedback requests
- support messages
Message frequency may vary. Message and data rates may apply. Consent is not a condition of purchase.
You may opt out of promotional texts at any time by replying STOP where supported. Transactional messages relating to an active booking or account may still be sent as permitted by law.
5. Cohorts, Matching, and Scheduling
Cohortly may use human review, software systems, or automated tools (including AI-assisted systems) to recommend or form groups based on factors such as:
- availability
- location preferences
- interests
- social preferences
- participation history
- group balance considerations
We do not guarantee:
- placement in any cohort
- placement within a certain timeframe
- compatibility with any participant
- attendance by other members
- a minimum number of participants
- any specific outcome
We may reschedule, modify, merge, split, pause, or cancel cohorts at any time.
6. Fees, Deposits, Refunds
Some Services may require payment, reservation fees, or refundable deposits.
If applicable, we will disclose pricing before checkout. Additional rules may apply to specific programs.
Unless otherwise stated:
- fees may be non-refundable once a cohort is confirmed
- deposits may be forfeited for no-shows, late cancellations, or policy violations
- discretionary refunds or credits may be issued case-by-case
Taxes and third-party payment processing fees may apply.
7. User Conduct
You agree to behave respectfully and lawfully when using the Services and when attending any Cohortly-related meetup.
You may not:
- harass, threaten, discriminate against, stalk, or intimidate others
- engage in unwanted sexual behavior or contact
- impersonate another person
- provide false information
- spam users or misuse contact information
- record others without consent where prohibited
- bring weapons or illegal substances
- damage property
- use the platform for commercial solicitation without permission
- attempt to hack, scrape, reverse engineer, or disrupt the Services
We may suspend or remove users for conduct concerns, even without prior notice.
8. Safety and Meetups
Cohorts may meet at third-party venues or public places. Participation is voluntary and at your own risk.
You are responsible for:
- your own transportation
- your own decisions and interactions
- assessing venue conditions
- following venue rules and local law
- exercising judgment regarding alcohol consumption and personal safety
We do not supervise in-person interactions and are not responsible for the acts or omissions of participants or third parties.
If you feel unsafe, leave the situation and contact appropriate emergency services.
9. Venue and Third-Party Services
Meetups may occur at restaurants, bars, parks, cafes, or other venues. Cohortly does not control third-party venues or services.
We are not responsible for:
- food quality
- venue policies
- service quality
- reservations issues
- alcohol service decisions
- injuries or losses at venues
Third-party platforms (payments, messaging, maps, analytics, hosting, etc.) may support the Services and have their own terms.
10. User Content
You may submit content such as:
- profile photos
- preferences
- feedback
- survey responses
- messages to support
- testimonials (with permission where required)
You retain ownership of your content, but you grant Cohortly a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, and display such content as needed to operate and improve the Services.
You represent that you have rights to any content you submit.
11. Feedback and Suggestions
If you provide ideas, feedback, or suggestions, you grant us the right to use them without restriction or compensation.
12. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share data.
We may use operational data, feedback, and aggregated trends to improve matching, safety, scheduling, and product quality.
13. Intellectual Property
The Services, including software, branding, logos, text, graphics, designs, workflows, and content created by us, are owned by Cohortly or our licensors and protected by applicable law.
You may not copy, distribute, modify, or exploit our intellectual property without permission.
14. AI-Assisted Features
Certain features may rely on automated systems or AI-assisted tools, including recommendations, scheduling support, prompts, summaries, or operational decisions.
These systems may be imperfect. You should use judgment and not rely solely on automated outputs.
We may review, override, or modify automated decisions.
15. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of:
- merchantability
- fitness for a particular purpose
- non-infringement
- uninterrupted availability
- compatibility or outcomes from participation
We do not guarantee that you will meet friends, build relationships, enjoy every experience, or achieve any personal result.
16. Limitation of Liability
To the fullest extent permitted by law, Cohortly and its affiliates, officers, employees, volunteers, contractors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, profits, goodwill, emotional distress, or personal injury arising from:
- use of the Services
- in-person interactions
- user conduct
- venue issues
- scheduling changes
- unauthorized access
- technical failures
Our total liability for any claim will not exceed the greater of:
- the amount you paid us in the prior 12 months, or
- $100 USD.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply.
17. Indemnification
You agree to indemnify and hold harmless Cohortly and its affiliates, officers, employees, volunteers, contractors, and partners from claims, damages, losses, and expenses arising from:
- your use of the Services
- your conduct
- your violation of these Terms
- your violation of law or rights of others
18. Termination
We may suspend, restrict, terminate, or discontinue all or part of the Services, any feature, any cohort program, or your access at any time for any reason, including misuse, safety concerns, inactivity, fraud, operational decisions, beta program changes, or legal compliance.
You may stop using the Services at any time.
Sections that by nature should survive termination will survive.
19. Governing Law and Disputes
These Terms are governed by the laws of the District of Columbia, without regard to conflict of laws principles, unless otherwise required by law.
Any dispute arising out of these Terms or the Services shall be resolved in courts located in the District of Columbia unless applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.
Your continued use of the Services after changes means you accept the updated Terms.
